A deal may not be completely done after the sale is complete. Sale agreements will frequently include provisions that continue after the sale, including earn-out provisions, representation and warranty claim periods and escrows of funds. Multiple offers were received, all at a significant premium to the unsolicited offer received a year earlier. The transaction closed just as planned and as scheduled two years earlier, at a price in excess of expectations.
